This Terms of Service Agreement (the "Agreement") is entered into by and between the Canadian trucking company (the "Company"), and any user or customer (the "Customer") who accesses, uses, or receives services from the Company. This Agreement governs the use of the Company's trucking services (the "Services") within the United States and Canada.
- Services The Company provides transportation and trucking services within the United States and Canada, including but not limited to, the transportation of goods and products. The Customer agrees to use the Services only for lawful purposes and in compliance with all applicable laws and regulations.
- Customer Obligations The Customer agrees to provide accurate and complete information regarding the shipment of goods, including the pick-up and delivery locations, the type and quantity of goods, and any other relevant information necessary for the provision of the Services. The Customer also agrees to ensure that all goods to be transported are properly packaged and labeled in accordance with applicable laws and regulations. The Customer is solely responsible for ensuring that all goods transported through the Services are legal and permissible.
- Payment The Company shall provide the Customer with a quote for the Services, which shall include all applicable fees and charges, prior to the provision of the Services. The Customer agrees to pay the Company in full for all Services provided, including any additional fees or charges incurred during the provision of the Services.
- Liability and Insurance The Company shall be liable for any loss or damage to goods transported through the Services, except for loss or damage resulting from the fault or negligence of the Customer. The Company shall maintain appropriate insurance coverage to cover any claims arising from the provision of the Services.
- Indemnification The Customer agrees to indemnify and hold the Company harmless from any and all claims, damages, liabilities, and expenses, including reasonable attorneys' fees, arising from the Customer's use of the Services, including but not limited to, any claims arising from the transportation of illegal or prohibited goods.
- Termination Either party may terminate this Agreement at any time upon written notice to the other party. The Company may also terminate this Agreement immediately upon notice to the Customer in the event of the Customer's breach of any of the terms of this Agreement.
- Governing Law and Dispute Resolution This Agreement shall be governed by and construed in accordance with the laws of the province of Ontario, Canada. Any disputes arising under or in connection with this Agreement shall be resolved through arbitration in accordance with the rules of the Canadian Arbitration Association.
- Entire Agreement This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous communications and proposals, whether oral or written, between the parties. No modification or amendment to this Agreement shall be effective unless in writing and signed by both parties.
By accepting the Services, the Customer acknowledges that it has read, understood, and agrees to be bound by the terms of this Agreement.
